    Rhein Biotech shareholders approve merger with Crucell subsidiary

    Leiden, The Netherlands, December 22, 2006 - Dutch biotechnology company Crucell N.V. (Euronext, NASDAQ: CRXL; Swiss Exchange: CRX) has announced that Rhein Biotech N.V. shareholders, voting at a general meeting held earlier today, approved to effectuate the legal merger with Berna Rhein B.V, a Crucell group company. Rhein Biotech N.V. shareholders will receive 1.158 Crucell N.V. shares in exchange for each Rhein Biotech N.V. share held.

    Crucell N.V. anticipates that the merger will be executed on Wednesday, December 27. Effective December 28, Rhein Biotech N.V. will cease to exist leading to the de-listing of its shares at the Frankfurt Stock Exchange. On the same day, the relevant number of Crucell N.V. shares will be delivered to the persons holding Rhein Biotech N.V. shares at the end of the last trading day (December 27) with any remaining fraction to be settled in cash.

    Bearer shares will be settled through the book-entry facilities of Clearstream Banking A.G. and its participants. Shareholders do not need to take any action themselves.

    Event Chronology
    27 December 2006: Execution notarial deed of merger. The merger will take effect one day after the execution of the deed of merger.
    27 December 2006: Last day of trading in Rhein Biotech N.V. shares on the Frankfurt stock exchange.
    27 December 2006(after close of trading): Record date for exchange of Rhein Biotech N.V. shares into Crucell N.V. shares (with remaining fraction to be settled in cash)
    28 December: Rhein Biotech N.V. ceases to exist.
    28 December 2006: Issuance and delivery of Crucell N.V. shares to eligible holders of Rhein Biotech N.V. shares as of the record date with any remaining fraction to be settled in cash).

    Ja, alles op tijd in gereedheid om overgenomen te worden. Zelfs de kleinste persberichten worden er nu uitgeperst (zie malaria subsidie van vanmorgen), om geen achterstallige zaken meer binnenskamers te houden.

    Crucell krijgt fiat aandeelhouders Rhein Biotech voor fusie

    Amsterdam (BETTEN BEURSMEDIA NEWS) - Aandeelhouders van Rhein Biotech hebben ingestemd met de juridische overname van het bedrijf door Crucell. Dat heeft Crucell vrijdag bekendgemaakt. De aandeelhouders gaven het groene licht tijdens een vandaag gehouden aandeelhoudersvergadering.

    Het Leidse biotechnologiebedrijf kreeg Rhein Biotech in handen toen het begin dit jaar Berna Biotech inlijfde. Particuliere beleggers hielden een belang van 7,3% in Rhein. Zij krijgen nu voor elk aandeel Rhein Biotech 1,158 aandeel Crucell.

    Crucell verwacht dat de fusie officieel wordt op woensdag 27 december. Een dag later is de integratie een feit, en wordt de notering van Rhein Biotech aan de beurs van Frankfurt geschrapt.

    RTRS-Aandeelhouders Rhein Biotech stemmen voor fusie met Crucell
    LEIDEN (ANP) - De aandeelhouders van Rhein Biotech hebben
    ingestemd met het samengaan van de onderneming met Crucells
    dochter Berna Rhein. Dat heeft het biotechnologiebedrijf vrijdag
    bekendgemaakt.

    De aandeelhouders van Rhein Biotech krijgen per aandeel in
    dat bedrijf 1,158 aandelen Crucell. De onderneming uit Leiden
    verwacht dat de samensmelting op 27 december plaatsvindt.

    Rhein Biotech website says there are 4,104,892 shares outstanding, that would be an additional 4.75 million Crucell shares, bringing the total up to around 68 million shares. The 2006 PR below speaks of 9 million euro in sales, and 25 million euro in cash. Have both of these been rolled into Crucell's figures ofr 2006 and 2007?

    Not beyond the realm of possibility. Whenever you watch a stock on Level II over an extended period of time, you can pretty much tell what normal trading in the issue looks like. Over the last several weeks CRXL's trading hasn't looked exactly right to me. Seemed to be some mild attempt to not let the pps run to the upside. Also have to wonder why most of the Crucell press releases have been issued on Fridays which usually is anethema for pps rise. Then there's the question of why news for Crucell on Yahoo quotes keeps disappearing. For the third time in recent weeks Yahoo quotes again shows: "No headlines available for CRXL."

    However I'm not really a conspiracy theorist so if there isn't a substantial jump in the price over the next few days to make up for any artificiality in trading, then I'd say it is just coincidence OR it may have been Woodpile selling shares to hold the price down in order to win his bet. YEAH, THAT'S THE TICKET!

    Aossa, geen extra 4.75 mln CRXL shares, Crucell had namelijk reeds 92.7% van Rhein Biotech shares in haar bezit....

    Ik zat nog ff verder te graven. Uit het Berna jaarverslag van 2005 (p.57) blijkt dat Rhein Biotech ook de eigenaar is van Green Cross Vaccines in Korea. Door nu de resterende 7.3% aandelen Rhein Biotech te kopen, verkrijgt Crucell het recht om volledig te beschikken over de resultaten binnen de Rhein Biotech Group, dus ook van Green Cross Vaccines.

    Gegeven de eerdere berichtgeving dat productiecapaciteit momenteel onbenut blijft èn marges te laag zijn, ligt het in de lijn der verwachtingen dat Green Cross in de toekomst relatief èn absoluut meer gaat bijdragen aan het Crucell resultaat. In dat kader bezien, is verkrijging van de 7.3% resterende Rhein Biotech aandelen goed nieuws.

    In aansluiting op mijn vorige posting:
    Ik ben het overigens met je eens dat 20-F lijkt te suggereren dat GreenCross rechtstreeks onder Crucell hangt, maar dit zou een structuurwijziging betekenen en daar is nooit officieel melding van gemaakt. Tevens is GreenCross volgens mij het belangrijkste onderdeel van Rhein Biotech, dus dat mag vanuit hun perspectief zeker niet ongemerkt zijn gegaan (op de Rhein Biotech site is niets te vinden over een verkoop van het belang in GreenCross aan Crucell).

    Verder bijgevoegd een link naar Rhein Biotech's AGM van 15-06-2006: hier wordt uitvoerig over GreenCross gesproken, en dat doe je niet wanneer je er geen eigenaar van bent.
