   History of PER.C6

The original cell was immortalized using recombinant DNA technology, allowing it to replicate indefinitely. This feature enables the cell line to produce biopharmaceuticals in sufficient quantities for commercial distribution. Crucell maintains extensive documentation on the PER.C6® technology, establishing the cell lines (marketed under the registered trademark PER.C6®) as the most fully and well-documented cell lines to date.
   
   Cell Banks
   Crucell has established master cells banks, which have been fully tested according to ICH and FDA guidelines. Subsequent generation of PER.C6® technology working cell banks ensure an indefinite supply of these cells for use by Crucell as well as present and future licensees.
   
   Experience
   Over the years, Crucell has gained extensive experience using the PER.C6® technology to develop and produce a wide range of biologics. This experience is fully documented in the PER.C6® technology Biologics Master File (BMF), which is maintained at the U.S. Food and Drug Administration (FDA).    Vaccine production

   PER.C6® technology supports the growth of a wide variety of human disease causing viruses that can subsequently be processed into vaccines suitable for administration to humans.    In its GMP facility, products can be manufactured from viruses cultured on the PER.C6® cell line under serum-free conditions in formats ranging from roller bottles to bioreactors. At present, Crucell is expanding the GMP-production capacity to 100L working volumes.

   Gene therapy production
   Gene therapy is one of the most promising technologies of modern medicine. The most commonly used vector in gene therapy is the adenoviral vector, but its clinical use has thus far been hampered by the potential generation of unwanted replication-competent adenoviruses (RCA) during the production process. PER.C6® technology eliminates this problem, as it does not produce RCA due to homologous recombination, making it the platform of choice for the large-scale production of clinical-grade adenoviral vectors.
   
   Capabilities
   Crucell has developed a plasmid system that allows easy insertion of heterologous genes into the adenovirus serotype-5 backbone. The shuttle vector used for the insertion of the therapeutic genes is marketed under the trademark pAdApt™. The pAdApt™ vector is specifically tailored to work with PER.C6® technology and enables the generation of recombinant adenovirus vectors that are free of RCA due to homologous recombination. Also, Crucell offers a routine in-house program to generate and produce small-scale vector batches for research purposes only. The delivery of a purified vector research batch takes 4 months from start to finish.
   
   Preclinical research
   Crucell owns fully operational laboratories with integrated upstream and downstream capacities. These units can be used to develop purification methods closely resembling an end-stage manufacturing process. With this facility Crucell has the ability to manufacture gene therapy products for complete preclinical programs.
   
   From preclinical research to the clinic
   Gene therapy products can be manufactured using the PER.C6® technology under serum-free conditions in formats ranging from roller bottles to 20L bioreactors, all with consistently high quality and yields. At present, Crucell is expanding the GMP-production capacity to 100L bioreactor working volumes. Crucell has in place a complete upstream and downstream process for production of clinical-grade Ad5-based gene therapy products.
   
   Daughter cell lines
   The master cell banks of the PER.C6® cell line are an excellent source for generating novel PER.C6®-based cell lines. Such cell lines can be cell clones with a high expression of a protein or antibody of interest. Similarly, the cells can be used as a starting point to build novel manufacturing platforms, thereby capitalizing on PER.C6® technology’s good safety record and extensive documentation maintained in the PER.C6® technology Biologics Master File. One example of using PER.C6® cell lines to build a new production platform is the generation of complementing cell lines for the production of non-type 5 adenoviral vectors.
   
   Regulatory
   All applicable safety and characterization tests dictated by regulatory guidance, including the ICH, FDA and EMEA, have been performed on PER.C6® master and working cell banks. The outcome of these tests demonstrates the suitability of PER.C6® technology as a safe platform for the production of vaccines and recombinant proteins.    Deze licentie deal is denk ik zeer belangrijk.
   
   Merck geeft duidelijk te kennen meer dan 1 produkt met PERC 6 te willen produceren.
   
   Crucell zat nu in een veel betere onderhandelingspositie dan de vorige keer.
   Ongetwijfeld heeft de tegenprestatie van Merck ook voor Crucell een grote waarde.
   
   Het zou mij niets verbazen als Merck nu zou willen zeker stellen dat niemand Crucell kan overnemen.
   Merck kan wel eens alleen daarvoor een strategisch 10% belang in CRXL willen kopen.
   Dat hoeft natuurlijk niet, maar het wordt nu echt interessant om te zien wat de koers gaat doen.

   Ze willen natuurlijk niet in cash betalen, die pharmaboeren. Onderlinge aandelenruil Merck en Crucell zit er wel in nu om zo'n agreement in der daad te bezegelen. Sanofi-Aventis kan dan volgen. Maar voor wat hoort wat: herziening van het exclusieve flu-contract, ik gis maar wat ?
   JMHO.
   
   En ja de MM'boeren hebben het weer druk met de gamma-versnellingen te schakelen.
   Gelukkig slapen ze nog in de VS, mogelijk tot einde jaar om er dan met over-drive in te vliegen.
   PS. fiskaal niet interessant in de VS om nog wat in 2006 te kopen.

    Ik geloof niet in een aandelenruil.
    
    Crucell heeft denk ik weinig aan een klein beetje aandelen Merck.
    
    Bovendien heeft Crucell al aardig wat aandelen uitgegeven dit jaar dus als zij al aandelen aan Merck wil uitgeven, zal dat pas volgend jaar gebeuren (mischien ter betaling voor dan geleverde diensten).

    Allemaal positief, ikke ook, maar vergeten we niet om wat kritisch te kijken naar de deal....?
    Is alles kraakhelder bij jullie omtrent deze deal?
    
    Ik vind de deal "vreemd" qua de combinatie tussen exclusiviteit en 'niet nader genoemde' vaccins.
    Immers exclusiviteit geef je niet zomaar weg. Sanofi is uit mijn hoofd de enige die exclusiviteit heeft verkregen voor een griepvaccin obv PerC6 en ze betalen er aanzienlijk voor (aanzienlijke milestone payments, royalty 10% en 10 medewerkers van crucell qua salaris uit mijn hoofd).

    Zijn daar wel de vaccins vermeld waar Merck nu exclusiviteit op heeft?
    
    Enerzijds is de deal mooi met Merck gezien het vertrouwen (HIV vaccin moet denk ik wel succesvol door clinical trial phase II lopen) en de toegang voor crucell tot de productiefaciliteiten van Merck.
    Anderzijds beperkt Crucell middels de exclusiviteit de aanwas van nieuwe PerC6 licenties voor de 'nader niet genoemde' vaccins...
    Tevens roept het vragen op als de productiefaciliteiten van Merck qua capaciteit 'vol' zitten over een paar jaar. Welk recht of aanspraak heeft Crucell nu hierop (voorrecht boven eigen vaccins Merck?)
    
    Zoals gesteld de exclusiviteit voor niet nader genoemde vaccins roept bij mij vragen op. Wat als een andere partij dan Merck een PerC6 licentie wil op een 'niet nader genoemd vaccin'. Wat dan?
    Een aantal vragen en onduidelijkheden.
    
    Hopelijk kunnen we samen hier 'helderheid' in geven.

    Er staat niet productie-faciliteiten.
    
    Merck beheerst kennelijk de TECHNOLOGIE (waarschijnlijk gepatenteerd)om op grote schaal te produceren.
    Die technologie wordt ter beschikking gesteld.
    
    Crucell stelt ook technologie beschikbaar.
    
    Een ruil dus.

    Crucell (CRXL - commentary - Cramer's Take - Rating) has entered a cross-licensing agreement with Merck (MRK - commentary - Cramer's Take - Rating) involving the companies' vaccine technologies.
    "This agreement will make it possible to speed up the delivery of our malaria and TB vaccines to the people in need, and makes it realistic to do so on the mass scale required," said Jaap Goudsmit, chief scientific officer at Crucell. "It also opens the way for Crucell to speed up the Ebola program with the [Vaccine Research Center] , which has recently entered a phase I clinical trial."
    
    Crucell's malaria vaccine development program is supported by the National Institutes of Health's National Institute of Allergy and Infectious Diseases group. The TB vaccine program is a collaboration with the Aeras Global TB Vaccine Foundation.
    
    Shares of Crucell were up 52 cents, or 2.1%, to $25.59.

    Japie, jij hebt je ook al verbaasd uitgelaten over de bewolkte verslaglegging in het gisteren gepubliceerde pb.
    Nu stond er dit:

    Moeten we nu ook maar aannemen dat er aan de deal ook roalties zitten verbonden? Merck zal, zoals het er uitziet, meerdere vaccins gaan maken met behulp van PER.c6, dus het spreekt voor zich. Maar het is niet duidelijk. Komt nog bij, gaat Merck vaccins ontwikkelen die ook al ij Crucell in ontwikkeling zijn of zelfs al op de markt zijn?

    Schijnbaar zijn wij de enige met vraagtekens, alhoewel er ook niemand is die het fatsoenlijk wil of kan uitleggen.

    Inderdaad niet duidelijk. Ik denk: Wel royalties. Maar geen jaarlijkse license fees, milestones, etc. De licenses zijn immers uitgeruild met de Advac kennis van Merck.
    
    Misschien gaat Crucell straks ook wel royalties aan Merck betalen voor het gebruik van Advac productie technieken, bij Malaria of TBC vaccin ;-)

    Dat lijkt me niet, Merck krijgt namelijk de rechten "on an exclusive basis in additional undisclosed vaccine fields". Als Crucell zelf in deze vaccin velden actief was, is de licensie voor Merck niet meer exclusief....

    Zullen ze met die exclusiviteit niet gewoon bedoelen dat Merck de enige is die, tot nu toe, onbepaalde vaccins gaat maken met behulp van PER.C6?
    Komt er in de toekomst een ander bedrijf die een licentie wil nemen voor de reeds "onbepaalde" vaccins een dikke nee op het rekest krijgt.
    Daar maak je ook niet echt vrienden mee. Ik snap dat exclusiviteit voor de afnemer heel mooi is, maar voor de brede uitzetting van PER.C6 zeker niet.
    Kortom laten ze die exclusiviteit in het vervolg maar lekker weg laten, tenzij het hier om een groot deel van de wereldmarkt betreft.
    Exclusiviteit moet ook een veel hogere roalty basis geven. Tenminste, dat vind ik,

    Wie zegt dat dat niet het geval is ?
    Brus is een goede onderhandelaar dus dat zit wel goed.
    Het is vervelend dat we niet precies alle in's en out's kennen maar dat weten we zelden of nooit.
