   MUMBAI/LONDEN (ANP) - Het Indiase staalconcern Tata Steel
   gaat zijn bod van 4,3 miljard pond (6,4 miljard euro) op
   branchegenoot Corus verhogen. Op die manier reageert het concern
   op een rivaliserend bod van het Braziliaanse CSN. Dat is de
   verwachting onder analisten en beleggers.
   
   De flinke koerswinst die het aandeel Corus afgelopen vrijdag
   boekte (plus 5 procent) werd maandagochtend vastgehouden. Dit
   duidt erop dat beleggers op de beurzen in Amsterdam en Londen,
   waar Corus een notering heeft, zich opmaken voor een heuse
   biedingenstrijd om het Brits-Nederlandse staalconcern.
   
   Het Braziliaanse staalbedrijf CSN kwam vrijdagmiddag met een
   rivaliserend bod op Corus van 475 pence per aandeel, 20 pence
   hoger dan dat van Tata. Het betreft een voorlopig bod en is
   onder voorbehoud van onder meer financiering en steun van het
   Corus-bestuur. In oktober boden de Indiërs 455 pence per aandeel
   Corus. Corus is inmiddels akkoord gegaan met dit bod.
   
   Volgens analist Jurriaan Hofman van onderzoeksbureau Iris
   ligt het voor de hand dat Tata zijn bod verhoogt. ,,Het
   prijsverschil is een bescheiden 4,4 procent. Een verhoging van
   het eerdere bod van Tata Steel is hiermee waarschijnlijk.''
   
   Voor aandeelhouders maakt het volgens Hofman niet zoveel uit
   welke partij strategisch beter bij Corus past. ,,De biedingen
   zijn in contanten, de aandeelhouder kiest voor de hoogste
   bieder.'' De Iris-analist ziet zelf weinig verschil in voordelen
   tussen een combinatie van Corus-CSN of Corus-Tata. Wel zijn
   kostenbesparingen voor Corus dankzij de goedkope aanvoer van
   ijzererts eerder te verwachten bij een samengaan van Corus met
   CSN dan met Tata.
   
   In India rekent vrijwel iedereen op een verhoogd bod van
   Tata. ,,Het is hoogst onwaarschijnlijk dat Tata Steel van Corus
   wegloopt nu ze zoveel tijd en moeite in het gehele proces hebben
   gestopt'', aldus de Indiase zakenbank Kotak Institutional. Corus
   en Tata waren al bijna een jaar in gesprek toen Tata naar buiten
   trad. ,,Maar Corus zal het moeilijk vinden om het bod van Tata
   te blijven steunen als het niet wordt verhoogd.''
   
   Het aandeel Corus is sinds de overnamegolf in de staalsector
   begin dit jaar al ruim 50 procent meer waard geworden. Behalve
   CSN waren ook het Russische staalbedrijf Severstal en het Duitse
   ThyssenKrupp in beeld voor een samengaan met Corus.
   
   CSN is voor Corus geen onbekende. De twee bedrijven
   overwogen vier jaar geleden al een fusie, maar dit plan ketste
   af vanwege de zwakke financiële positie van CSN en onzekerheden
   over de wereldwijde economische groei. Ook nu nog is volgens
   Iris-analist Hofman CSN fors gefinancierd met geleend geld. Daar
   staat het Indiase conglomeraat Tata Sons tegenover, het
   moederbedrijf van Tata Steel met een beurswaarde van bijna 50
   miljard euro. Het is volgens Hofman duidelijk wie de strijd gaat
   winnen.

   A Tata Steel spokesman declined to comment when contacted by Reuters.
   
   "Speculation was rife in investment banking circles that the Tatas would eventually revise their bid to about 500 pence a share to stay in the hunt for Corus," the paper said in the largely unsourced report.
   
   On Monday, sources told Reuters that Brazil's Companhia Siderurgica Nacional (CSN), which has topped Tata's Steel's offer for Corus with a 4.26 billion pound ($8.1 billion) indicative approach, was expected to make a firm offer within next two weeks.
   
   The newspaper quoted Tata Steel sources saying the Indian firm would wait for CSN to make a firm offer and for Corus' response to it before it made any revised offer.

   Een cursusje engels van LOI elke dag een half uurtje doet wonderen zou ik je adviseren.
   
   Er staat donderdag is er vergadering van Tata's board.
   Zij wachten met een hernieuwd bod op het officieel worden van het bod van CSN.
   Vermoedelijk wordt hun bod 500 pence.
   
   Verder weet ik te melden dat CSN behoorlijk om zich heen zit te bluffen dat ze ruim genoeg geld voor overname hebben.
   
   Ik denk dat CSN blijft bieden hoe dan ook maar straks ook de Notering in UK laat blijven,maw zij gaan straks ook Tata aftroeven met aandelen van de combinatie van CSN_Corus,op zich is dat ook mijn hoop.

   AMSTERDAM (Dow Jones)--Het bestuur van de Indiase staalproducent Tata Steel ltd komt aanstaande donderdag 23 november bijeen om te praten over de implicaties van het bod dat het Braziliaanse CSN heeft gedaan op overnamedoelwit Corus Group plc, meldt dagblad The Economic Times dinsdag.
   
   CSN kondigde vorige week aan een bod van 475 pence per aandeel Corus te willen uitbrengen, terwijl Tata eerder een bod van 455 pence per aandeel had uitgebracht.
   
   "Tata zal echter wachten met het uitbrengen van een hoger bod tot CSN echt heeft geboden en Corus daarop een reactie heeft gegeven," stelt een anonieme bron in de krant.

   Tatas to sweeten Corus offer by 10%
   
   New Delhi, November 21, 2006
   
   In a bid to counter the hostile bid of Brazilian steel maker Companhia Siderurgica Nacional (CSN), Tata Steel is all set to sweeten its offer price for Anglo Dutch steel giant Corus group by around 10 per cent, investment banking sources told Hindustan Times. Tata Steel's board is set to meet on November 23 to take a final decision.
   
   According to highly-placed sources in investment banking, Tata Steel is likely to raise the offer price to between 490 pence to 500 pence per share as against the original offer price of 455 pence per share. In the process, the total offer price would increase to $8.86- $9.04 billion.
   
   At the original offer price of 455 pence per share (or ($8.69 per share), the equity value of Corus Group was $8.23 billion. The new offer price would also be in tune with the current market price of Corus Steel, which is trading at around 502 pence a share on the London Stock Exchange.
   
   A Tata Steel spokesman declined comment on the planned revision of the offer price. "We have no comment to offer at this point of time," he said.
   
   The Corus group is scheduled to hold an extraordinary general meeting on December 4 to consider the Tata Steel offer. Therefore, CSN’s hostile bid and Tata Steel's revised offer need to be completed before that.
   
   Sources close to the deal said that Tata Steel revised offer is likely to be a final one, in the nature of a "take-it-or-leave-it" proposal.
   
   Although it would be difficult for the Corus board to ignore the CSN offer, it might still prefer the Tata Steel bid in the light of the fact that CSN made an abortive attempt to acquire Corus four years ago.
   
   Secondly, CSN’s offer is subject to due diligence, which Tata Steel had already completed. Besides, the Corus board has already approved the Tata Steel offer, said a leading investment banker.
   
   CSN, which has not made its offer officially, is expected to make its formal bid shortly after the completion of its due diligence process. Investment banking sources said that CSN has the tacit support of the large financial investors including Barclay’s Global and Standard Life, which own around seven percent each.
   
   Financial service industry sources said large institutional investors could possibly have an understanding in tandem with CSN, under which any increase in the offer price by Tata Steel from 455 pence per share and resulting in a further gain would be shared between them in a certain proportion.
   
   “This is a perfectly valid agreement, where these financial investors are maximising the consideration for their investments in the company (Corus). In fact, in a similar deal, Severstal of Russia had entered into an agreement with the management of Arcelor, which forced Mittal Steel to revise its offer price," said a banker involved in the deal.
   
   In fact, the special purpose vehicle (SPV) created by the Tatas for the Corus deal purpose has factored such eventuality. The SPV has raised $9.5 billion to fund the transaction. This includes an equity contribution of $3.88 billion from Tata Steel and fully underwritten non-recourse debt amounting to $5.63 billion.
   
   Investment bankers are of the opinion that Tata Steel might yet win the battle by simply upping its offer price. This in turn will help in soothing large investors like Standard Life and Barclay’s who have expressed their reservation over the offer price currently on the table.

    AMSTERDAM (Dow Jones)--Het Brits-Nederlandse staalbedrijf Corus plc betaalt de miljardenovername door Tata Steel grotendeels zelf. Dat is af te leiden uit het biedingsdocument van Tata Steel, aldus dagblad NRC dinsdag.
    
    Uit het document blijkt dat Corus na de overname hoge schulden toegeschoven krijgt en zelf de rente en aflossingen moet gaan betalen. De overname lijkt gezien de financiering als twee druppels water op een transactie van een financiële 'opkoper' die het bedrijf later wil doorverkopen, aldus de NRC-verslaggever: hoge schulden en veel afstand ten opzichte van de nieuwe eigenaar.
    
    In totaal heeft Tata Steel een financieringspakket samengesteld van 7,4 miljard euro. Verreweg het grootste deel daarvan heeft Tata Steel, deels via andere onderdelen van het Tata-concern, van banken geleend. Hierdoor kan Tata Steel de aankoop van Corus voor meer dan 90% met geleend geld betalen.
    
    Corus is sinds vorige week vrijdag inzet van een overnamestrijd tussen het Indiase Tata Steel en CSN. Het Braziliaanse staalbedrijf heeft Corus benaderd met hoger tegenbod, nadat Corus eerder al had ingestemd met het lagere bod van Tata Steel. Het Indiase staalbedrijf moet nu beslissen of het zijn bod verhoogt.

"We have got access to the books of Corus with the beginning of due diligence process, which we expect to be completed soon," a CSN spokesperson said, adding that they were close to launching a formal bid.
    
    The spokesperson said the process should be a "quick one" and could be completed well ahead of December 4, when Corus shareholders are scheduled to vote on Tata Steel’s 455 pence per share offer. "We know Corus books quite well as we were in merger talks earlier in 2002 also. This should make due diligence process a fast one," the spokesperson added.
    
    CSN said that as far as shareholders are concerned, both the offers were equal as they have neither voted on Tata Steel’s bid nor their’s.
    
    "Corus’ board has just recommended Tata’s offer to the shareholders" and it cannot be equated to an approval. Obviously, we have a better chance when it comes to the shareholders, as our proposal of 475 pence per share in cash is higher than the Tatas’ 455 pence," the CSN spok-esperson said adding that the company was quite hopeful that its offer would meet with success.
    
    The takeover code of the UK provides that Corus must give the same information to us that it gave to Tata Steel under the due diligence process, after which we would launch a formal bid, he added. When asked whether CSN would announce another counter bid if Tata Steel matches or betters the current proposal from CSN, the spokesperson for the Brazilian firm said that it was a hypothetical scenario and he could not comment on it.

    Rob deu dilligence is gewoon een boeken onderzoek volgens vastgestelde richtlijnen cq vastgestelde vragen,ik neem aan ook een zekere geheimhoudingsplicht.

    Yes, if it is financially viable
    
    Tata Steel has been in the business of steel for almost a century and hence it knows what is good for their business. However, when it comes to paying a price for loss-making Corus there are different issues to be considered.
    
    If it makes business sense for Tata Steel to leverage and capitalise further, it should up its bid for Corus to the extent financially viable. CSN is perhaps in a better position to acquire Corus — on account of better integration and regional advantages, including the advantages from lesser environmental resistance. Moreover, CSN and Corus have been dating each other for long.
    
    CSN’s 42% stake in the largest global producer and supplier of iron ore CVRD is worth mentioning here. It is likely to translate all these factors into its bidding strategy which will turn the heat on the Tatas. However, in the case of CSN there is no other factor that should add up other than the economic price for the deal.
    
    For the Tatas, this attempt reflects the group’s global ambitions rather than the economics of business. This can also be seen as part of India’s global business ambitions. There are a number of group companies trying to push aggressively into the global market and this acquisition is important for the global positioning of Tatas.
    
    Hence the group should pay a premium for positioning themselves as a significant multinational player. This premium is the second factor in the pricing that Tatas should be ideally considering.
    
    The key question is why Tata Steel should and its share holders take any burden emanating from the issue mentioned above? The premium for the group’s global ambition should come from the house of Tatas and the benefits too accrue to them.
    
    In my view, the Tata group must up its bid to the extent financially feasible to clinch this deal. While the whole nation prays for this acquisition, the deal structure should be designed to protect the interest of Tata Steel and its share holders from any adverse economic impact from a global-size gamble at the top of an economic cycle.

    Corus suitor Tata Steel isn’t sweetening its acquisition offer, for the moment at least.
    
    On Friday, the Mumbai-based Tata Steel denied reports of raising its price of 455 pence ($8.79) per share to counter a rival bid from Brazilian steelmaker Cia Siderurgica Nacional.
    
    CSN had made an offer of 475 pence per share last week, subject to due diligence. There were reports in the Indian media Thursday that said Tata Steel shareholders had approved raising the offer for Corus (nyse: CGA - news - people ). The reports did not quote anyone.
    
    “Tata Steel has not taken any decision in the manner speculated in the media at its scheduled board meeting held on Thursday, November 23, 2006,” the company said.
    
    Investors reacted favorably to the news on Friday -- shares of Tata gained 2.5% on the Bombay Stock Exchange to close the day at Rs.483.05 ($10.82).
    
    The stock has lost ground since news of CSN making a counter offer for Corus. On Oct. 20, Corus shareholders approved Tata’s offer of $8.1 billion. If the deal comes through, it will be an Indian firm’s largest foreign takeover and will create the world’s fifth largest steelmaker.
    
    Hemen Kapadia of investment advisers Morpheus Inc. said that when Tata made the offer for Corus, it was assumed that either Russian steel giant Severstal or CSN would rival it.
    
    “But Corus is comfortable with Tata, and even if they just equal the CSN offer, Corus is likely to go with Tata,” he says. Even though a higher offer may prove to be a drag on Tata’s balance sheet, “the chances of Tata Steel upping its bid are bright,” said Kapadia.
    
    But the Tatas remain tightlipped about their course of action. “Tata Steel is not making any other comments on this matter and all media comments remain speculations,” said a company statement.
    
    When the Corus board approved Tata’s bid in October, Corus chairman Jim Leng had said: “This combination with Tata, for Corus shareholders and employees alike, represents the right partner at the right time at the right price and on the right terms.”

    CSN said its bid would also create a Top Five steelmaker. CSN already has a 3.8% stake in the Anglo-Dutch firm Corus. In 2002, Corus had offered to buy CSN for $3.5 billion, but withdrew the offer four months later after its shares lost about half their value.
    
    Corus’ latest shareholding disclosure revealed that Goldman Sachs (nyse: GS - news - people ) now has a 4.01% stake in the company and UBS AG (nyse: UBS - news - people ) has a 7.6% stake. Both firms are CSN’s corporate brokers.

    In its first official comment on the Corus deal since a rival bid came up, Tata Steel today said that its offer for buying out the Anglo-Dutch steelmaker remains valid in spite of a counter bid from Brazil's CSN.
    
    "We made an offer for Corus on October 20. That remains valid," T Mukherjee, deputy managing director of Tata Steel, said today on the sidelines of a metals seminar here.
    
    Asked whether Tata Steel would revise its bid to match the CSN offer, he refused to comment.
    
    India's largest private steel manufacturer had offered to buyout Corus at a price of 455 pence per share with a total deal size valued at $ 8.1 billion.
    
    Subsequently, CSN made a counter offer at a price of 475 pence per share, which valued Corus at $8.5 billion.
    
    Before the CSN bid, Tata Steel's managing director B Muthuraman had said that 455 pence was a fair value to the investors of Corus. Standard Life, which holds 7.8% stake in Corus, was unhappy with Tata Steel's offer saying it undervalued the company.

    AMSTERDAM (Dow Jones)--Het Indiase Tata Steel ltd zou het openbaar bod op Corus Group plc met 10% willen verhogen om een concurrerend bod van het Braziliaanse Companhia Siderurgica Nacional (CSN) dwars te zitten, schrijft de Indiase krant DNA donderdag op basis van anonieme bronnen.
    
    Tata Steel heeft tot op heden gezegd dat nieuws over het eventueel verhogen van het bod van 455 pence per aandeel Corus 'pure speculatie' is. De krant schrijft echter dat Tata het bod zou willen verhogen naar 490 pence tot 500 pence per aandeel.
    
    CSN meldde enkele weken geleden een bod van 475 pence per aandeel uit te willen brengen. Het Braziliaanse bedrijf doet momenteel boekenonderzoek bij Corus en het is wachten op het moment dat CSN het bod officieel uitbrengt.
