    Thornburg Won't Seek Hldr Approval For Wts

    Thornburg Mortgage Inc. (TMA) Chief Executive Larry Goldstone told shareholders that the company won't seek their approval to issue warrants in connection with its recent capital raising efforts, the company disclosed Wednesday.

    Goldstone said in a letter to holders that the company won't seek the approval because any delay in receiving it could "seriously jeopardize" the company's financial viability. He said the company is bypassing shareholder approval in reliance on an exception permitted by the New York Stock Exchange.

    Goldstone said the company's capital raising efforts should allow it to focus on its core business - originating and securing adjustable-rate mortgage loans.

    "We intend to build on our leadership position in the prime jumbo and super jumbo sector of the mortgage industry," Goldstone said, according to a copy of a letter included in a Securities and Exchange Commission filing Wednesday.

    On Monday, the Santa Fe, N.M.-based home-mortgage finance company said it completed its offering to raise $1.35 billion from the sale of notes, warrants to purchase common stock and a participation in certain mortgage-related assets.

    Thornburg is seeking shareholder approval, at a meeting scheduled for no later than June 15, to increase the number of authorized shares of capital stock it can issue to 4 billion.

    weer zo vast als een deur..niet onder de $1,30 maar ook niet boven de $1,36...meeting niet later dan 15 juni. Als ze wat aan die koers willen doen dan moeten ze die meeting snel houden. Maar ook weer niet te snel want de aandeelhouders zijn nog niet bekomen van de schrik van begin deze week

    Dus OK van aandeelhouders is niet meer nodig om akkoord voor het plan te krijgen. Dilution is dus een feit. Blijft een raadsel waarom de koers zo hoog kan blijven.

    Toch gaan er met een spread van 1 cent enorme blokken doorheen.

    Heeft het iets te maken met deze zin uit de SEC filing uit de laatste(en derde) alinea?

    "Purchasers have agreed to exercise the warrants promptly after April 11, 2008, if not otherwise prohibited from doing so."

    Bwaaaaaaahh........1,16 en enorme dumps voorbeurs,-10% weer,heb ik goed gezien gelukkig en op tijd verkocht met gemiddeld mooie winst!..wat een farce dit verhaal zeg!

    Via 1,16 terug naar 1,22

    Toch valt het mij mee dat de daling elke dag met kleine stukjes gaat.
    Nieuws is niet meer te verwachten uit deze hoek.

    Je zou zeggen dat de verwaterig de koers naar de centen-regio zou brengen.

    Clarification: Thornburg April 2 Story

    NEW YORK (AP) -- In an April 2 story about lender Thornburg Mortgage Inc., The Associated Press reported the company faced bankruptcy without shareholder approval of a financing plan. The story should have noted that Thornburg plans to legally circumvent a shareholder vote on the issue, as is allowed under market rules.
    A corrected version of the story appears below.

    NEW YORK (AP) -- Jumbo mortgage lender and real estate investment trust Thornburg Mortgage Inc. could collapse if a vote to increase the number of outstanding shares is delayed or fails, the company said in a letter to shareholders.

    The letter, dated Tuesday, was submitted to the Securities and Exchange Commission as part of a regulatory filing Wednesday.

    The vote to increase the number of common shares outstanding is required as part of a capital raising plan Thornburg formalized earlier this week that would allow the company to pay off its margin calls and repurchase agreements.

    Thornburg is raising $1.35 billion through the sale of senior subordinated secured notes that also come with options to purchase shares of common stock for 1 cent per share.

    If the vote is approved, existing common shareholders would own only about 5.5 percent of the common stock.

    A failure to complete the raising of new capital would "seriously jeopardize the financial viability of the company," Larry Goldstone, the company's president and chief executive, wrote in the letter.

    Therefore, Thornburg's audit committee members, via an exception in the New York Stock Exchange's shareholder approval policy, have decided to not seek stockholder approval for the move.

    In early March, Thornburg disclosed it has faced nearly $1.8 billion in margin calls since the beginning of the year. The lender said it was unable to meet $610 million in calls, which led it to look for new ways to raise capital. If it raises the capital, Thornburg would also receive a one-year reprieve from facing any future margin calls.

    Thornburg faced a similar round of margin calls in August, but was able to meet them.
