   Ik ben vaak erg terughoudend als mensen hier spreken over allerlei complettheorien en partijen die de markt manipuleren, etc. Ik denk dat het toch vaak gewoon een kwestie is van vraag en aanbod en de overwegingen die beleggers hierin maken kunnen geheel verschillend zijn. De huidige situatie begrijp ik echter niet; er staat gewoon een bod van 24,75 en J&J doet dat bod gestand; waarom zou je dan je aandelen verkopen voor ruim 23 euro ??? Je wacht gewoon 2 tot 3 maanden en je krijgt anderhalve euro meer !

   Huidige situatie is eenvoudig:
   1. Het wordt de 24.75-weigeraars lastiger gemaakt
   2. Het zal het J & J MT héél wat moeite gaan kosten, om aan opstandige J & J aandeelhouders het 24.75-bod te rechtvaardigen, immers: 'wát een kneuzenbedrijf is dat Crucell zeg; 24.75 is veel te veel'...
   
   De hele vertoning wordt steeds afzichtelijker en schandaliger, en de gifbeker is voor Piet de Aandeelhouder, zo vrees ik, nog bij lange na niet leeg.
   
   Dat wordt eeuwig branden in de hel, Brus & Co!!!

   Er is geen bod en er kan ook nog niets gestand worden gedaan; wel als J&J na het verwachte bod van 24,75 (volgende maand) vervolgens meer dan 80% heeft binnen gehaald.
   Zoniet dan is het of ermee kappen (geen optie) of meer bieden. De huidige acties hebben slechts tot doel wat makkelijker bij het doel (minimaal 80%) te komen. Nogmaals: als v. Herk en DeltaLloyd er niet intrappen gaat dat nog knap tegenvallen, en is het wachten op de volgende onaangekondigde ramp (nog wel even te bevestigen door onze externe vrind bij Barclays Capital).
   Er wordt wel veel omgezet, maar de vraag is welk percentage er wordt gekocht/verkocht door daghandelaren cq wie aan zichzelf verkoopt om beeldvorming te beinvloeden "iedereen dumpt!"

    Het indicatieve bod blijft zoals het is, begrijp dan ook niet helemaal de reactie vandaag en gisteren.

    nu maar Crucell verkopen en inruilen voor een ander biofonds, zoals Galapagos. Daar zit ook veel muziek in.

    en als de huidige grootaandeelhouders nu bijgekocht hebben tijdens de daling, dan stijgt het percentage niet aan te melden stukken. Dan is dat een positieve kant van manipulatie

    New Brunswick, N.J., and Leiden, the Netherlands, 29 October 2010 - Pursuant to the provisions of Section 7 paragraph 1(a) of the Dutch Decree on Public Takeover Bids (Besluit Openbare Biedingen Wft) requiring a public announcement within four weeks following the announcement of an intended public offer to provide a status update, Johnson & Johnson (NYSE: JNJ) and Crucell N.V. (NYSE Euronext, NASDAQ: CRXL; Swiss Exchange: CRX) provide the following joint update.
    
    Johnson & Johnson and Crucell report that the companies are making progress on the preparations for the intended public offer that was previously announced on 6 October 2010 (the Offer). Regarding the announcement by Crucell on 28 October 2010 about manufacturing issues in Crucell's Shingal facility in Korea, Johnson & Johnson is working with Crucell to understand the circumstances surrounding these events and to assess the situation.
    
    Johnson & Johnson has filed a first draft of the offer document with the Netherlands Authority for the Financial Markets (Stichting Autoriteit Financiële Markten, or the AFM) for review and approval. Johnson & Johnson currently expects to request and obtain the final approval of the offer document from the AFM and to be in a position to launch the Offer before the end of November, as previously announced. The U.S. Securities and Exchange Commission will also have an opportunity to review and comment on the offer document.
    
    On 14th October 2010, Crucell announced that it will convene an initial informational Extraordinary General Meeting of Shareholders on 10th December 2010 in Amsterdam, the Netherlands, to discuss the Offer. This initial informational meeting will not be the statutory shareholders meeting as required by Dutch takeover regulations.
    
    
    Johnson & Johnson and Crucell have started the consultation process with the Crucell works council and expect to receive the work council's advice regarding the Offer shortly. The Internal Revenue Service (IRS) ruling to be obtained by Johnson & Johnson on certain US tax matters has been formally requested and the Dutch tax ruling on certain Dutch tax matters has been obtained. Johnson & Johnson has submitted a draft request to the European Commission (the EC) to file an anti-trust notification with the EC.     AMSTERDAM (Dow Jones)--Crucell N.V. (CRXL.AE) Friday gave details of an extraordinary general meeting for its shareholders to air views on Johnson & Johnson's (JNJ) EUR1.75 billion agreed bid for the company as hopes the U.S. giant might raise its offer waned after the Dutch biotechnology company said it has a possible contamination problem at a vaccines plant in South Korea. Crucell late Thursday said it won't meet its financial targets for 2010 because it has suspended operations at its Shingal site in South Korea and temporarily halted shipments of pentavalent vaccine Quinvaxem and its hepatitis B vaccine Hepavax-Gene because there may be contamination at the plant.
    
    The Dutch biotech firm said there are "no concerns" about the safety of any vaccines that have already been distributed from the plant. It expects to resume shipping before the end of November once an ongoing investigation is completed, although it doesn't expect to get back to full availability of the drugs until February next year. J&J said it is working with Crucell "to understand the circumstances surrounding these event."
    
    It went on to say that a first draft of the deal's offer document has been filed with Netherlands officials and hopes to launch the offer by the end of November. It also confirmed Friday that payment would be made via J&J's "available cash resources." Friday, Crucell said the extraordinary shareholders meeting will take place Dec. 10 in Amsterdam and will allow the company to make a presentation about the J&J offer and give shareholders the opportunity to make their opinions known.
    
    Rotterdam-based Van Herk Groep, which holds a 10% stake in Crucell, has said that J&J's proposed offer of EUR24.75 a share doesn't reflect the future potential of the vaccine maker and demanded the extraordinary meeting take place to discuss the s offer. "With over 10% of the share capital of Crucell in our possession, we are entitled to do so. We call on our fellow shareholders to attend this meeting, to make our dissatisfaction known and to demand that the board withdraws its support for this low bid price," Van Herk Groep said earlier this month.
    
    UBS analyst Guillaume van Renterghem says J&J is unlikely to walk away from its bid on Crucell as a result of the contamination issues at the Korean manufacturing plant, but he said the likelihood of an increased bid now is gone. He also thinks the three-month timeline Crucell has outlined to go through the issue, clean up the manufacturing line, revalidate the manufacturing process and resume production is realistic. UBS has a neutral rating and a EUR24.75 target on Crucell. Crucell shares closed Friday down 2.5%, or EUR0.60, at EUR23.25 in Amsterdam.

    NEW BRUNSWICK/LEIDEN (AFN) - Farmaconcern Johnson & Johnson (J&J) verwacht zoals eerder aangekondigd voor eind november een definitief overnamebod te kunnen uitbrengen op het Nederlandse biotechbedrijf Crucell. Het biedingsvoorstel is inmiddels naar de Autoriteit Financiële Markten (AFM) gestuurd ter beoordeling van de overnameplannen die op 6 oktober werden aangekondigd. Dat maakten J&J en Crucell vrijdag bekend in een gezamenlijke verklaring.
    
    Ook de Amerikaanse beurstoezichthouder SEC zal zich nog buigen over de voorgenomen overname. J&J stelt dat het nog steeds van plan is de overnameprijs van 1,75 miljard euro in contanten te voldoen. J&J bezit al aandelen Crucell.
    
    Verder lieten de bedrijven weten dat zij gezamenlijk kijken naar omstandigheden en consequenties rond een mogelijk verontreinigingsprobleem bij een productiefaciliteit van Crucell in Korea.
    
    De ondernemingsraad van Crucell is inmiddels om advies gevraagd en J&J en Curcell verwachten dat op ,,korte termijn'' te krijgen. Ook is een aanvraag ingediend bij de Europese Commissie en zijn de bedrijven bezig duidelijkheid te krijgen over ,,belastingaangelegenheden'' in de VS en Nederland.
