    De Raad van Bestuur van de Maatschappij is hierbij gemachtigd om, op een door de Raad van Bestuur van de Maatschappij te bepalen tijdstip, de Maatschappij vrijwillig te ontbinden overeenkomstig de BVI Business Companies Act van 2004, welke liquidatieprocedure en ontbindingsaanvraag zullen zijn begonnen en geïmplementeerd op een tijdstip dat door de Raad naar eigen goeddunken wordt bepaald;

    Het lijkt wel of dit bericht van bijna 3 jaar geleden vandaag een soort van paniekreactie veroorzaakt. Niets nieuws onder de zon dus. WPA in 2018: 0,43 USD.

    Waar DZR verschijnt,en weer verdwijnt,vindt U Dood en Verderf en de Hond in De Pot. Grmpffffft.

    oThe Board of Directors of the Corporation is hereby authorized to make provision for and to discharge all liabilities of the Corporation in conjunction with the winding up and dissolution of the Corporation and in connection with such winding up and dissolution, is authorized to make a pro rata distribution to shareholdersof the net proceeds available to the Corporation (after adjusting for carrying costs and other winding up and dissolution related expenses) from the sale of any or all remaining assets of the Corporation in such amounts and at such times as determined by the Board of Directors;oAny one director or officer of the Corporation be and is hereby authorized and directed to do all such things and to execute and deliver all documents and instruments as may be necessary or desirable to carry out the terms of this resolution, including but not limited to, the filing of articles of dissolution under the BVI Business Companies Act; andoThe directors of the Corporation may, in their discretion, without further approval of the shareholders, revoke this special resolutionat any time before the filing of articles of dissolution under the BVI Business Companies Act in respect of the foregoing.Granting the Board of Directors the right to voluntarily dissolve the Corporation does notme

    Wellicht heeft DZR nu elders iets positiefs gepost over dit fonds... Wat ik wel weet: Winst per aandeel (2018) 0,43 USD, zet dit maar eens af tegen de huidige (nog steeds erg lage) beurskoers.

    Dit bedrijf maakt helemaal geen winst, maar zware verliezen, niet voor niks willen ze er zo snel mogelijk mee stoppen.

    Zowel in 2017 als in 2018 was het verlies ca 5 miljoen per jaar.

    Omdat Thunderbirds bezig is om alles te verkopen was er in 2018 een eenmalige boekwinst van 16.6 miljoen, die gebruikt is om schulden af te betalen.

    Het eigen vermogen is negatief en zal dit jaar nog meer negatief worden met een verlies van ca 4 tot 5 miljoen.

    2.PERFORMANCE ON ASSET SALES We continue to pursue decisions that will support the best interest of shareholders according to the shareholder mandate set forth in the September 21, 2016 Special Resolutions the status of which is summarized below on the Group’s key remaining assets:

    A.Peru Gaming Assets: As of April 11, 2018, the Group completed the sale of its Peru gaming assets for a sale price of approximately $26 million. The Peruvian gaming operations sold included the Group’s local flagship Fiesta Casino consisting of approximately 680 gaming positions and 3 other gaming operations in Peru, with approximately 560 gaming positions. The sale also included approximately 7,000 m2 of gaming real estate and 150 parking spaces.

    B.Peru Real Estate Assets: As of the publication of this 2018 Annual Report, the Group continued to operate and wholly own a mixed-use tower containing a 66-suite hotel, approximately 6,703 m2 of rentable-sellable office space, and 158 underground parking spaces. The Group continues to evaluate the best means of optimizing shareholder value from these assets, and more is expected to be announced in this regard in the near future.

    C.Nicaragua Gaming and Real Estate Assets: As of the publication date of this 2018 Annual Report, the Group continued to own a 56% interest in a Nicaraguan holding company that owns the following assets: i) Gaming: Five full casinos and two slot parlors with a combined approximately 858 gaming positions; and ii) Real Estate: Approximately 4,562 m2 of land divided among 5 parcels, and some with tenant improvements as more fully detailed on page 13. Since March 2018, the Nicaraguan market has been disrupted by civil protests. At this time, the Group believes that it is in the best interest of shareholders to continue to operate these assets for the foreseeable future given that any serious interest and recognition of value can only be achieved once there is more clarity as to the market conditions.

    D.Costa Rica Real Estate Asset: As of the publication of this 2018 Annual Report, the Group continues to own a 50% interest in a Costa Rican entity that owns the 11.6-hectare real estate property known as “Tres Rios”. Tres Rios, with its own, dedicated off ramp, is located close to the country’s 2nd largest mall on the highway between the capital city of San Jose and the commuter city of Cartago. Due to the controversies described in Note 22, section c, to the attached Financial Statements, it is improbable that the Tres Rios property will be developed and/or sold in the near future. We will continue to pursue decisions that will support the best interest of shareholders according to the shareholder mandate set forth in the September 21, 2016 Special Resolutions.

    Klein nieuws op 23sep19 uit de wereld van de gokbedrijven

    Caesars Entertainment won 0,3 procent. Het gokbedrijf en exploitant van hotels en golfbanen verkoopt het Rio All-Suite Hotel & Casino in Las Vegas voor iets meer dan 516 miljoen dollar aan Imperial Companies.
